1. Who this agreement is between
This agreement is between Aaron Bivens, doing business as Abivens Tech ("we", "us"), of 900 N Allen Ave, Richmond, Virginia 23330, and the person or organisation named on the account ("you").
If you accept these terms for a business, you confirm you are authorised to bind it, and "you" means that business. You must be at least 18 to use the service.
The agreement starts when you first sign in or when your site goes live with us, whichever is earlier, and continues until either of us ends it under section 15.
2. The service
The Suite Site provides:
- Analytics. The tracking code, the dashboard and the reports.
- Hosting. Where we also host and serve your website.
- Social posts. Writing draft posts from your own website, scheduling them, and publishing the ones you approve to social accounts you connect.
- Media library. Storing the photos and videos you upload for your posts.
- Store and shipping. A checkout on your website that uses your own Stripe account, and shipping labels bought through your own EasyPost account.
The plan on your account sets what is included: websites, monthly tracked events, team logins, posts written for you each month, media storage, and features. Your Billing page is the authoritative list.
Changes. We improve the service all the time and may add, change or retire features. If we remove a feature from a plan you are paying for, or reduce an included limit, we will tell you at least 30 days beforehand and you may cancel without penalty before it takes effect.
Fair use. Included event volumes are generous and are not hard caps. If you go materially over for two consecutive months, we will contact you about a plan that fits. We will not silently stop collecting your data.
Availability. We aim for 99.5% monthly availability of hosting and the dashboard, excluding maintenance we have announced, suspension under section 11, and failures outside our control, including the social networks. If we miss it, ask and we will credit the affected month.
Support. Email [email protected] and a person reads it. We aim to reply within three working days, or by the next working day on plans with priority support. These are targets, not guarantees.
Early-access features. Features marked beta, preview or early access are offered as they are, may change or be withdrawn at any time, and are excluded from the availability target.
3. Your account
- Give us accurate information and keep it current, especially your billing email address.
- Keep your login details secure and do not share them. Anything done with your login is treated as done by you.
- Tell us straight away at [email protected] if you think someone has accessed your account without permission.
- You are responsible for the people you invite to your account and what they do in it.
4. Rules of use
You agree not to use The Suite Site to:
- Break any law, or help anyone else break one.
- Publish or host anything unlawful, fraudulent, defamatory, harassing, hateful, sexually explicit, or that exploits children.
- Infringe anyone's copyright, trademark, privacy or other rights.
- Send spam, run fake engagement, impersonate anyone, or mislead people about who you are.
- Track websites, or connect social accounts, that you do not own or are not authorised to manage.
- Collect sensitive personal data through the tracking code: health information, financial account numbers, government identifiers, biometric data, or information about children.
- Break the rules of the social networks you connect.
- Distribute malware, probe or attack our systems, overload the service, or get around its limits or security.
- Copy, scrape, resell or reverse-engineer the service, or use it to build a competing product.
If you break these rules we may remove the content concerned or suspend your account under section 11.
5. Your content
It is yours. Your website content, uploaded media, posts, brand settings and analytics data belong to you. We claim no ownership of any of it.
Permission to run the service. You give us a non-exclusive, worldwide, royalty-free permission to host, copy, process, adapt (for example resizing an image or converting a video for a network) and publish your content, only as needed to provide the service to you and as you direct. It ends when your content is deleted from our systems, except for posts already published on a social network, which stay there until you remove them.
Your responsibility. You are responsible for your content and confirm you have the rights needed to use it, including for photos, video, music and trademarks. We do not review content before it is published, but we may remove content that breaks these terms or the law.
Feedback. If you send us ideas or suggestions, we may use them freely without paying you or owing you anything.
6. Social networks and other services
The Suite Site connects to services run by other companies, including Facebook, Instagram, X, Bluesky, TikTok, Stripe and EasyPost. When you connect one:
- Their terms apply to your use of them, as well as ours, and you agree to follow them.
- We do not control them. A network may change its rules or its API, limit what apps can do, refuse a post, or suspend your account on that network. If that removes or changes a feature, it is not a breach of this agreement, though we will do what we reasonably can to keep things working.
- We are not responsible for their content, their availability, or what they do with your data. Their own privacy policies apply.
7. Posts written by AI
- Nothing is published without your approval. Drafts wait in your queue until a person on your account approves them. Editing an approved post sends it back to the queue.
- Drafts are written from your own website. We use Anthropic's Claude to write them from your public pages and brand settings. We do not use another customer's content. AI writing is included in your plan up to the number of posts it allows each month.
- AI can be wrong. Drafts may contain mistakes, outdated details, or wording similar to other content. Read every draft before you approve it. Once approved and published, a post is yours and you are responsible for it.
- Unconfirmed posts are never retried. If we cannot confirm a post reached the network, for example because it timed out, we stop and flag it in your queue rather than risk publishing it twice.
8. Store and shipping
Payments from your buyers go directly to your own Stripe account, and postage is bought with your own EasyPost account. We are not a party to your sales: we never hold your money, take a fee on a sale, or handle refunds and disputes.
You are responsible for what you sell, your prices, taxes, delivery, returns, the information you give your buyers, and following the laws that apply to selling online.
9. Fees, renewal and taxes
- Billing. Fees are charged in advance, monthly or yearly, depending on the plan you choose, by card through our payment processor, Stripe. We never see or store your full card number.
- Automatic renewal. Your plan renews automatically at the end of each period, for the same length, at the then-current price, until you cancel. You can cancel at any time from the Billing page.
- No refunds. When you cancel, your plan keeps working until the end of the period you have paid for, and is not renewed. We do not refund payments or partial periods, except where the law requires it or where we bill you in error.
- Extra websites. Websites beyond your plan's included count are charged from the day they are added, prorated for the current period.
- Price changes. We give 30 days' notice of any price change. A new price never applies to a period you have already paid for.
- Taxes. Fees do not include sales tax, VAT or GST, which is added where it applies.
- Questions about a charge go to [email protected]. Anything else goes to [email protected], which is read faster.
Private arrangements. We may agree in writing that an account pays nothing, or pays differently. Where we have, sections 10 and 11 do not apply to it for non-payment while the arrangement stands.
10. If a payment fails
Cards expire and banks decline things. Our aim is to reach you, not to catch you out. In order:
- We retry the charge over several days.
- We email you at the billing address on your account each time it fails, saying what is owed and how to fix it.
- If it is still unpaid after the retries, a grace period of 7 days begins. Everything keeps working, and we email you the date it ends.
- At least 3 days before that date, we send a final notice naming the exact date your service will be suspended.
You can stop this at any point by paying the balance or updating your card on the Billing page. Notice sent to the billing address on the account counts as notice given.
11. Suspension
For non-payment
If an invoice is still unpaid after the steps in section 10, we may suspend service.
- Hosted websites show visitors a plain page saying the site is temporarily unavailable, with the status
503 Service Unavailable, which tells search engines the outage is temporary so your rankings recover. - Your dashboard stays available so you can see what is owed and pay it. We may stop collecting new analytics and publishing posts while suspended.
- Nothing is deleted or altered, and suspension is not termination.
- Paying the balance restores service automatically, normally within minutes, with no reinstatement fee.
We will not suspend for non-payment without sending the notices in section 10, during the grace period, or over an amount you are disputing in good faith. If we suspend in error, we will restore service as soon as we know and credit a full month for the affected site. If an account stays suspended and unpaid for 30 days, we may end the agreement under section 15.
For breaking the rules
We may suspend all or part of your account, without the steps in section 10, if you seriously break section 4, if your use puts other customers, the service or the public at risk, if a social network or the law requires it, or to stop fraud. We will tell you why, unless the law prevents it, and restore access once the problem is fixed.
12. Your data and privacy
Our Privacy Policy explains what we collect and how we use it.
What the tracking code records. How visitors use your site: pages, referrers, device and browser, approximate location derived from the IP address, on-page behaviour such as scrolling and clicks, and contact details a visitor chooses to submit. IP addresses are hashed and never stored in raw form.
Your visitors' and buyers' data. For this data you are the controller and we process it on your instructions. You are responsible for having a lawful basis to collect it, publishing your own privacy notice, and getting consent where the law requires. A data processing agreement is available on request.
What we never do. We do not sell your data, use it for advertising, or use it to train AI models.
Retention and export. Analytics history is kept for the period your plan states. You can export your reports as CSV at any time. After the agreement ends your data stays available for 30 days, then is deleted. Our payment processor keeps invoice records, including your name, email and amounts billed, for as long as tax law requires.
Requests and incidents. If one of your visitors asks you to delete their data, tell us and we will delete it from our systems within 30 days. If we become aware of a security breach affecting your data, we will tell you within 72 hours.
13. Our property
The Suite Site itself, including its software, design, the reports it produces, our name and logo, belongs to us or our licensors. You get a limited, non-transferable right to use it while this agreement is in force and you keep to it. Nothing in this agreement transfers ownership of the service to you.
14. Copyright complaints
We respect intellectual property and expect our customers to do the same. If you believe something hosted or published through The Suite Site infringes your copyright, email [email protected] with:
- Your name and contact details.
- A description of the work you say is infringed.
- The address of the material on our service.
- A statement that you believe in good faith the use is not authorised, and that your notice is accurate and you are the owner or authorised to act for them, made under penalty of perjury.
- Your physical or electronic signature.
We will remove or disable access to material that is the subject of a valid notice, and close the accounts of repeat infringers.
15. Ending the agreement
You may cancel at any time from the Billing page. Your plan keeps working until the end of the period you have paid for. There is no exit fee.
We may end this agreement with 30 days' notice, or immediately if you seriously or repeatedly break it, including non-payment continuing 30 days past suspension or using the service for unlawful purposes.
If you ask within 30 days of the agreement ending, we will provide a full export of your data, a zipped file of your website's code and files, and, where we host your site, reasonable help moving your domain elsewhere. Sections 5 (feedback), 9 (fees owed), 13, 16, 17, 18, 19 and 20 continue after the agreement ends.
16. Disclaimers
The service is provided "as is" and "as available". To the fullest extent the law allows, we make no promises beyond those written in this agreement, and we disclaim all implied warranties, including of merchantability, fitness for a particular purpose and non-infringement.
In particular, we do not promise that the service will be uninterrupted or error-free, that AI-written drafts will be accurate, that any social network will accept or keep a post, or that using The Suite Site will produce any particular sales, traffic or results.
17. Limitation of liability
Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Subject to that, and to the fullest extent the law allows:
- Our total liability to you for all claims is limited to the greater of the fees you paid us in the 3 months before the event giving rise to the claim, or US$100.
- Neither of us is liable to the other for loss of profit, revenue, business or goodwill, or for indirect, incidental, special or consequential loss, even if told it was possible.
- We are not liable for loss of your data where you have not kept your own copy. Exports are available at any time and we recommend taking them.
- A suspension carried out under section 11 is not a breach of this agreement, and we are not liable for business lost while a site is suspended for non-payment.
18. Indemnity
You will defend and compensate us against claims, losses and reasonable costs, including legal fees, brought by someone else and arising from your content, your products or sales, your use of the service in breach of this agreement or the law, or your breach of a social network's rules. We will tell you promptly about any such claim and let you control the defence, and you will not settle it in a way that admits fault on our behalf without our consent.
19. Disputes and arbitration
Please read this section carefully. It affects how disputes are resolved and waives the right to a jury trial and to class actions.
Talk to us first. Email [email protected] describing the problem and what you want. Most issues are a misunderstanding about an invoice and take one email to fix. Neither of us will start formal proceedings until 30 days after that notice. Please talk to us before raising a chargeback: it costs a fee and freezes the account automatically.
Disputed charges. If you dispute a charge in good faith and tell us before the suspension date, we will not suspend service over that amount while we work it out.
Binding arbitration. Any dispute that we cannot resolve informally will be decided by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. The arbitration will take place in Richmond, Virginia, or by video if both of us agree. The Federal Arbitration Act governs this section. The arbitrator's decision is final and may be entered in any court with jurisdiction.
No class actions. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative proceeding, and the arbitrator may not combine claims of more than one customer. Both of us waive the right to a jury trial.
Exceptions. Either of us may bring an individual claim in small claims court, and either of us may ask a court for an urgent order to stop infringement or misuse of intellectual property or confidential information.
Opting out. You may opt out of this arbitration section by emailing [email protected] within 30 days of first accepting these terms, with your name, account email and a statement that you opt out. If you do, disputes go to the courts described below.
Governing law and courts. This agreement is governed by the law of the Commonwealth of Virginia, without regard to its conflict-of-law rules. Any dispute not subject to arbitration will be heard only in the state or federal courts located in Richmond, Virginia, and both of us agree to their jurisdiction. If the class action waiver is found unenforceable for a claim, that claim goes to those courts and not to arbitration.
20. General
- Changes to these terms. We may update these terms. We will email account owners at least 30 days before a material change takes effect. If a change materially disadvantages you, you may cancel before it takes effect; continuing to use the service afterwards means you accept it.
- Transfer. You may not transfer this agreement without our consent, which we will not unreasonably withhold. We may transfer it to a company that acquires our business, on the same terms.
- Events outside our control. Neither of us is responsible for delays or failures caused by events beyond reasonable control, such as outages of internet, power or hosting providers, actions of social networks, natural disasters, war or government action. This does not excuse paying fees that are due.
- Export and sanctions. You may not use the service where US export controls or sanctions prohibit it, or if you are a person they prohibit.
- Relationship. We are independent contractors. Nothing here creates a partnership, employment or agency relationship.
- No waiver. If we do not enforce a term straight away, we can still enforce it later.
- Severability. If any part is unenforceable, it is limited as little as possible and the rest still applies.
- Whole agreement. These terms, the plan shown on your Billing page and the Privacy Policy are the whole agreement between us and replace anything discussed beforehand.
- Notices. Ours go to the billing email on your account. Yours go to [email protected].
